IMPORTANT - PLEASE READ CAREFULLY
THIS END-USER LICENSE AGREEMENT ("EULA") IS A LEGAL AGREEMENT BETWEEN YOU (EITHER AN INDIVIDUAL OR A LEGAL ENTITY) AND CHROMACHECKER CORPORATION ("CHROMACHECKER," "WE," "US," OR "OUR") CONCERNING CHROMACHECKER'S SOFTWARE APPLICATIONS FOR DESKTOP AND MOBILE DEVICES ("SOFTWARE").
BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT INSTALL OR USE THE SOFTWARE.
If you are accepting this EULA on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms.
1. Definitions

| Software | ChromaChecker desktop and mobile applications, including CC Capture, CC Curve, Datalogger, and other ChromaChecker client applications |
| Services | The ChromaChecker cloud platform and online services accessed via the Software |
| Subscription | Your active ChromaChecker service subscription |
| User | The individual or entity licensed to use the Software |
| Documentation | User guides, technical specifications, and help materials provided by ChromaChecker |
| Plugin | An optional software extension to the Software that adds functionality beyond the base application, distributed by ChromaChecker or by a third party |
| Plugin Terms | The supplementary terms applicable to an individual Plugin, published at the address stated for that Plugin and incorporated into this EULA by reference when you install or use that Plugin |
| Organisation | The company or other legal entity identified in your ChromaChecker Subscription |
2. License Grant
2.1 Limited License
Subject to your compliance with this EULA and maintenance of an active Subscription, ChromaChecker grants you a limited, non-exclusive, non-transferable, revocable license to:
- Install and use the Software on devices you own or control
- Use the Software solely to access ChromaChecker Services
- Make reasonable backup copies for archival purposes
2.2 Scope of License
This license permits:
- Installation on multiple devices associated with your Subscription
- Use by authorized users within your organization (per your Subscription terms)
- Updates and new versions provided during your Subscription period
2.3 Subscription Requirement
The Software requires an active ChromaChecker Subscription to function. Without a valid Subscription:
- Core functionality will be disabled
- Data synchronization will cease
- You must uninstall the Software or renew your Subscription
2.4 Plugins and Extensions
The Software supports optional Plugins. Plugins are not covered by the license granted in Section 2.1 and are licensed separately.
(a) Separate licence. Unless stated otherwise for an individual Plugin, a Plugin licence is granted to the Organisation, not to an individual User, and is assigned to a specific computer (a "seat"). Any User authorised by that Organisation may use the Plugin on that computer. Reassignment of a seat to another computer is permitted under the conditions ChromaChecker publishes; repeated reassignment intended to share a single Plugin licence across multiple computers is not permitted and may result in the seat being suspended.
(b) Plugin Terms. Installing or using a Plugin requires acceptance of that Plugin's Plugin Terms, where published. In the event of conflict, the Plugin Terms prevail for matters specific to that Plugin, and this EULA governs all other matters. Plugin Terms may be updated independently of this EULA; a change to one Plugin's Plugin Terms does not modify this EULA or the terms of any other Plugin. Plugin Terms apply only to Plugins you install or use.
(c) Evaluation and change. Plugins may be made available for evaluation for a limited period. Plugin functionality is under active development: ChromaChecker may modify, replace or withdraw any Plugin, and functionality available during an evaluation period may afterwards be unavailable or require a paid licence.
3. License Restrictions
You shall NOT:
(a) Redistribute - License, sell, rent, lease, transfer, assign, or distribute the Software to any third party
(b) Reverse Engineer - Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software, except (i) as expressly permitted by applicable law, or (ii) with respect to third-party open-source components included in the Software (such as PySide6, Qt, and other LGPL-licensed libraries) to the extent required by their respective licenses. See the THIRD_PARTY_NOTICES.txt file distributed with the Software for details
(c) Modify - Adapt, modify, alter, translate, or create derivative works based on the Software
(d) Remove Notices - Remove, alter, or obscure any copyright, trademark, or other proprietary notices in the Software
(e) Circumvent - Circumvent or attempt to circumvent any license validation, access controls, or security measures
(f) Misuse - Use the Software for any unlawful purpose or in violation of any applicable laws or regulations
(g) Compete - Use the Software to develop a competing product or service
(h) Benchmark - Publish performance benchmarks without ChromaChecker's prior written consent
4. Intellectual Property
4.1 Ownership
The Software is licensed, not sold. ChromaChecker and its licensors retain all right, title, and interest in and to the Software, including:
- All copyrights, patents, trade secrets, and other intellectual property rights
- All modifications, enhancements, and derivative works
- All Documentation and related materials
4.2 Trademarks
ChromaChecker™, CC Capture™, and associated logos are trademarks of ChromaChecker Corporation. This EULA does not grant any rights to use ChromaChecker trademarks except as necessary to identify the Software.
4.3 Feedback
If you provide feedback, suggestions, or ideas regarding the Software, ChromaChecker may use such feedback without obligation to you.
5. Data Collection and Privacy
5.1 Data Processing
The Software collects and transmits data to ChromaChecker servers, including:
- Measurement data (spectral, colorimetric values)
- Device information (instrument serial numbers, calibration data)
- Usage data (feature usage, error logs)
- Account credentials (used solely for authentication and access control)
5.2 Privacy Policy

5.3 Cookies and Similar Technologies
The Software may use cookies and similar technologies for:
- Session management
- Authentication
- Usage analytics
- Performance monitoring

5.4 Your Rights

5.5 Consent
To the extent required by applicable law, by using the Software, you consent to data collection and processing as described in our Privacy Policy. If you do not consent where consent is required, you must stop using the Software.
6. Updates and Modifications
6.1 Automatic Updates
The Software may automatically download and install updates. These updates may include:
- Bug fixes and security patches
- Feature improvements
- Compatibility updates
6.2 Terms for Updates
Updates are subject to this EULA unless accompanied by separate license terms, in which case the separate terms govern the update.
6.3 Modification of EULA
ChromaChecker may modify this EULA at any time. Material changes will be communicated via:
- In-app notification
- Email to registered users
- Notice on our website
Continued use of the Software after changes constitutes acceptance.
7. Technical Requirements
7.1 System Requirements
Before installing the Software, review the technical requirements published at: /support/system-requirements
7.2 Internet Connection
The Software requires an active internet connection to:
- Authenticate your Subscription
- Synchronize data with ChromaChecker Services
- Receive updates
7.3 Third-Party Open-Source Components
The Software includes third-party open-source components, including PySide6 and Qt (licensed under the GNU Lesser General Public License version 3). These components are subject to their own license terms, which take precedence over this EULA with respect to those components. In particular, you retain the right to modify and replace the LGPL-licensed libraries as described in the LGPL v3. Complete license texts and source code availability information are provided in the THIRD_PARTY_NOTICES.txt, LGPL-3.0.txt, and GPL-3.0.txt files distributed with the Software, and in the "About" section of the application.
7.4 Third-Party Services Accessed Through Plugins
Certain Plugins connect to services operated by third parties. Where a Plugin uses your own account with such a provider, your use of that service is governed by the agreement between you and that provider; ChromaChecker is not a party to that agreement and does not control the provider's availability, security, pricing or data handling. You are responsible for holding the rights necessary to grant the Plugin access to that account and for the content you transfer through it.
7.5 Network Behaviour and Security Disclosure for Plugins
A Plugin may change the network behaviour of the computer it runs on — for example by opening a listening port, communicating on the local network, discovering or controlling devices, storing credentials or browser cookies, or starting a background process. Where a Plugin does any of these, its Plugin Terms and accompanying documentation state:
- which inbound ports it opens, on which interfaces, and how access to them is authenticated;
- which outbound destinations and ports it contacts;
- what data leaves your computer, and where it is stored;
- which credentials it stores, and where;
- any background process or service it starts.
You are responsible for deciding whether that behaviour is acceptable on your network and for configuring your firewall accordingly. ChromaChecker publishes a consolidated summary of this information for the Software and its Plugins so that it can be reviewed by your IT administrators before deployment.

8.2 Maintenance
ChromaChecker will provide reasonable efforts to maintain Software compatibility with current operating systems and ChromaChecker Services during your Subscription period.
9. Disclaimer of Warranties
9.1 "As Is"
EXCEPT AS EXPRESSLY SET FORTH IN THIS EULA, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND.
9.2 Disclaimer
CHROMACHECKER AND ITS LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- TITLE AND NON-INFRINGEMENT
- ACCURACY OR RELIABILITY OF RESULTS
- UNINTERRUPTED OR ERROR-FREE OPERATION
9.3 No Guarantee
CHROMACHECKER DOES NOT WARRANT THAT:
- The Software will meet your specific requirements
- The Software will be uninterrupted, timely, secure, or error-free
- Results obtained will be accurate or reliable
- Defects will be corrected
10. Limitation of Liability
10.1 Exclusion of Damages
IN NO EVENT SHALL CHROMACHECKER OR ITS LICENSORS BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
- COST OF SUBSTITUTE GOODS OR SERVICES
- BUSINESS INTERRUPTION
WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10.2 Liability Cap
CHROMACHECKER'S MAXIMUM AGGREGATE LIABILITY UNDER THIS EULA SHALL NOT EXCEED THE GREATER OF:
- The amount paid by you for your Subscription in the 12 months preceding the claim, OR
- One hundred US dollars ($100 USD)
10.3 Jurisdictional Limitations
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, ChromaChecker's liability is limited to the maximum extent permitted by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless ChromaChecker and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Software
- Your violation of this EULA
- Your violation of any third-party rights
- Your violation of applicable laws
12. Term and Termination
12.1 Term
This EULA is effective until terminated.
12.2 Termination by You
You may terminate this EULA at any time by:
- Uninstalling and destroying all copies of the Software
- Deleting all backup copies
12.3 Termination by ChromaChecker
ChromaChecker may terminate this EULA immediately if you:
- Breach any term of this EULA
- Fail to maintain an active Subscription
- Use the Software in violation of applicable laws
12.4 Effect of Termination
Upon termination:
- All licenses granted hereunder terminate immediately
- You must cease all use of the Software
- You must uninstall and destroy all copies of the Software
- Sections 4, 9, 10, 11, 13, and 14 survive termination
13. Governing Law and Dispute Resolution
13.1 Governing Law
This EULA is governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to conflict of law principles.
13.2 Dispute Resolution
Any dispute arising from this EULA shall be resolved as follows:
- Informal Resolution: Contact legal@chromachecker.com and attempt informal resolution for at least 30 days
- Arbitration: If unresolved, disputes shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association
- Location: Arbitration shall take place in Delaware, USA, or remotely at ChromaChecker's discretion
13.3 Class Action Waiver
YOU AGREE TO RESOLVE DISPUTES INDIVIDUALLY AND WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
13.4 Injunctive Relief
Notwithstanding the above, ChromaChecker may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property rights.
14. General Provisions
14.1 Entire Agreement
This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and ChromaChecker regarding the Software.
14.2 Severability
If any provision of this EULA is found invalid or unenforceable, the remaining provisions remain in full force and effect.
14.3 Waiver
Failure to enforce any right under this EULA does not constitute a waiver of that right.
14.4 Assignment
You may not assign or transfer this EULA without ChromaChecker's prior written consent. ChromaChecker may assign this EULA freely.
14.5 Export Compliance
You agree to comply with all applicable export laws and regulations. You shall not export or re-export the Software to any prohibited country or person.
14.6 U.S. Government Users
The Software is "commercial computer software" as defined in FAR 2.101. Government users acquire the Software with only those rights set forth in this EULA.
14.7 Language
This EULA is drafted in English. If translated, the English version prevails in case of conflict.

In case of conflict between this EULA and the Terms of Service, the Terms of Service shall prevail for matters related to the Services, and this EULA shall prevail for matters specific to the Software.
Plugin Terms are incorporated only for Plugins you install or use, and prevail over this EULA in matters specific to the Plugin they cover. See Section 2.4.
